1. Acceptance of Terms

By accessing and using the DesignCity Studio website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") govern your use of our website located at designcity.cc (the "Service") operated by DesignCity Studio ("us", "we", or "our"). Our Privacy Policy also governs your use of the Service and explains how we collect, safeguard and disclose information that results from your use of our web pages.

2. Description of Services

DesignCity Studio provides professional web design, development, and digital marketing services. Our services include but are not limited to:

• Custom web design and development
• E-commerce solutions and online store development
• Digital marketing and SEO services
• Brand identity and graphic design
• Website maintenance and support
• Consultation and strategy development

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to our clients.

3. User Accounts and Registration

When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password and for all activities that occur under your account.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

We reserve the right to terminate accounts, remove or edit content, or cancel orders at our sole discretion.

4. Acceptable Use Policy

You may use our Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates applicable federal, state, local, or international law or regulation
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent

Additionally, you agree not to: use the Service in any manner that could disable, overburden, damage, or impair the service; use any robot, spider, or other automatic device to access the service; or introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

5. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of DesignCity Studio and its licensors. The Service is protected by copyright, trademark, and other laws.

Unless explicitly stated otherwise, all materials, including but not limited to images, graphics, icons, text, software scripts, layouts, designs, are owned by DesignCity Studio and are protected by copyright and other intellectual property laws.

Upon full payment of our services, clients receive ownership rights to custom-developed materials specifically created for their projects, excluding any pre-existing templates, frameworks, or third-party components.

6. Payment Terms

Payment terms will be specified in individual project proposals and contracts. Generally, we require:

• A deposit of 50% to commence work on new projects
• Remaining balance due upon project completion and before final delivery
• Monthly retainer clients billed in advance on the first of each month
• Payment due within 30 days of invoice date unless otherwise specified

Late payments may incur a 1.5% monthly service charge. We reserve the right to suspend services for accounts that are more than 15 days overdue.

All prices are quoted in GBP and exclude VAT unless otherwise stated. VAT will be added at the current UK rate where applicable.

7. Project Deliverables and Timelines

Project timelines will be outlined in individual project proposals and contracts. We strive to meet all agreed-upon deadlines but are not liable for delays caused by:

• Client delays in providing required materials or feedback
• Third-party service providers or vendors
• Technical difficulties beyond our reasonable control
• Changes in project scope or requirements

Clients will receive regular updates on project progress and will be notified immediately of any potential delays or issues that may affect the delivery timeline.

8. Confidentiality

We understand the importance of confidentiality in our client relationships. We agree to:

• Keep all client information strictly confidential
• Not disclose any confidential information to third parties without explicit written consent
• Use client information solely for the purpose of providing our services
• Return or destroy all confidential materials upon project completion or termination

This confidentiality obligation survives the termination of our business relationship and continues indefinitely.

9. Limitation of Liability

In no event shall DesignCity Studio, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

Our total liability to you for all damages arising out of or relating to these Terms or the Service shall not exceed the amount you paid us for the services giving rise to the claim in the twelve (12) months preceding the claim.

We provide our services on an "as is" and "as available" basis and make no representations or warranties of any kind, express or implied, regarding the operation of our services or the information, content, or materials included therein.

10. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service. Upon termination, your right to use the Service will cease immediately.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

If you do not agree to the new terms, please stop using the Service.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
